We are a newly organized blank check. To date, our efforts have been limited to organizational activities and activities related to this offering. We have not selected any potential business combination target, and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any potential business combination target with respect to an initial business combination with us. While we may pursue a business combination target in any business, industry or geographical location, we intend to focus our search for a target in Brazil and in sectors with strong growth potential, with high correlation to Brazil growth, resilient business models, in non-cyclical industries, with favorable secular trends, including those that have been historically underserviced by the government. These include, but are not limited to, technology, healthcare, pharma, education and consumer services, which we refer to throughout this prospectus as the Brazil growth sectors. We will seek to leverage our management team’s complimentary backgrounds in finding well-run companies managed by qualified entrepreneurs which can benefit from access to the international capital markets.
